Agilysys Completes Acquisition of Visual One Systems

BOCA RATON, Fla. – Jan. 25, 2007 – Agilysys, Inc. (NASDAQ: AGYS), a leading provider of innovative IT solutions, today said it has completed the previously announced acquisition of Visual One Systems, Corp., a privately-held company with U.S. headquarters in Frederick, Md., and Europe headquarters in Leatherhead, Surrey, U.K.

The acquisition provides Agilysys expertise around the development, marketing and sale of Microsoft® Windows®-based software for the hospitality industry, including additional applications in property management, condominium, golf course, spa, point-of-sale, and sales and catering management.

Agilysys recently announced plans sell its computer systems distribution business for $485 million in cash and to use proceeds from that sale to accelerate its growth as a solution provider, both organically and through acquisition.

Visual One Systems is a leading developer and marketer of Microsoft® Windows®-based software for the hospitality industry with offerings including property management, condominium, golf course, spa, point-of-sale, and sales and catering management applications. Visual One Systems customers include well-known North American and international full-service hotels, resorts, conference centers and condominiums of all sizes.

Visual One Systems Purchases GolfPro, Inc

Merger replaces exclusive distributorship

FREDERICK, MD (USA) – October 10, 2006 – Visual One Systems Corporation, a supplier of management software to the hospitality industry since 1977, has acquired the GolfPro company after years of being the exclusive distributor of GolfPro®’s software systems.  Many of the top golf courses in the world, including Pinehurst in North Carolina, Bandon Dunes in Oregon, Shingle Creek in Florida, Kapalua in Hawaii, and Doonbeg in Ireland, use the GolfPro® software.

"Though we’ve had a great relationship with the developers of GolfPro for many years, it is better that we are now in full control of its development path,” says Dave Burroughs, President of Visual One Systems.  “Greater things will come as far as integrating GolfPro with our property management and club management systems.

“I think the time was right to merge our company with Visual One Systems,” said Mark Vincent, (former) CEO of GolfPro.  “Now, V1’s full programming resources will take GolfPro to a new and better level.”

Though GolfPro® can operate as a stand-alone system, much of its power comes from the integration with Visual One’s property management system.  For example, a hotel reservationist can book a tee-time for a guest simultaneously with the sleeping room reservation.  If the guest cancels the room reservation, V1 PMS can either automatically cancel the tee-time or it can ask the User if they’d like to cancel the tee-time.  In addition, when a golf transaction is settled to a guest’s room, V1 PMS automatically knows which of the golf items (tee-time, cart rental, services, retail items, etc.) should be applied to the guest’s package and which should be posted outside of the package plan.  No human intervention is required.

Future software developments include the ability for guests to build their golf, spa, dining room, and activity itineraries on the hotel’s web site.

V1Net PMS allows guests to check-in over the Internet

Visual One’s browser-based software is guest-friendly

FREDERICK, MD (USA) – September 28, 2006 – Visual One Systems Corporation, a supplier of management software to the hospitality industry since 1977, has added a guest-friendly feature to speed-up the check-in process at hotels and to decrease labor requirements at a hotel’s front desk: advanced check-in over the Internet.

V1Net is Visual One’s browser-based property management software and is designed to operate over the Internet (but can also be hosted “locally” at your hotel).  Check-in over the ‘net allows guests to confirm their sleeping room reservation, confirm a payment method, and choose a room via the hotel’s web site.  The guest can print a check-in voucher on their printer and, upon arriving at the hotel, can merely exchange the voucher for a room key.

Visual One Systems is currently in discussions with lock vendors so that guests can bypass the front desk entirely and merely use their credit card as the room key.  The credit card would have to be the same card that was used in the check-in process.

Visual One’s Users Conference Attains Record Attendance

V1 introduces new yield management and web page interface 

FREDERICK, MD (USA) – September 20, 2006 – Visual One Systems Corporation, a supplier of management software to the hospitality industry since 1977, held its 2006 User’s Conference at the exclusive Barton Creek Resort in Austin, TX from September 11 to 15, 2006.   Almost 250 attendees from hotels, resorts, and conference centers around the world contributed to V1’s largest conference ever.

V1’s upgraded yield management system was met with applause.  New features include length-of-stay rules, days-in-advance rules, and also yield by room type.

V1 also introduced its new web page interface that permits webmasters to add dot-net “controls” to a hotel’s website, thus allowing the hotel to create a custom user-interface.  In addition, the reservation process remains “inside” the hotel’s website so that the guest doesn’t exit the hotel’s web page.

Rosen Shingle Creek to use V1’s PMS, POS, Sales & Catering, Spa, Accounts Receivable and GolfPro

Rockville, MD (USA) – April 17, 2006 – Visual One Systems, a leading supplier of management software to the hospitality industry, is pleased to announce that Rosen Hotels and Resorts, based in Orlando, Florida, have chosen Visual One’s suite of integrated software products for their premier site, Rosen Shingle Creek.  Rosen Hotels also uses V1’s software at the 800-room Rosen Plaza Hotel and 1,334-room Rosen Centre Hotel.  The continuation of a trusting partnership was a key factor in their decision to select Visual One.

Rosen Shingle Creek is scheduled to open in September of 2006 less than a mile from the new Orange County Convention Center’s North-South complex and next to the UCF Rosen School of Hospitality Management.  The Resort will offer 250,000 square feet of dedicated state-of-the-art meeting space.  The meeting space will include a 95,000 square foot, column-free ballroom. The installation will include Visual One’s Property Management software, Preventative Maintenance, Restaurant Point-of-Sale, Club Management, Sales & Catering, Guest Activity Scheduling, Web Page interface, Spa, Golf course management, Dining Room Reservations, electronic registration card, Accounts Receivable and interfaces to Expedia, Passkey, and TravelClick.  Rosen’s Shingle Creek will be the first Visual One property to use multiple Check In/Check Out/Guest Service Kiosks, Utilize the Guest Room Key to allow charging in all Point of Sales outlets, Electronic Signature Capture in their point-of-sale outlets as well as Electronic Signature Capture of all guest folios at check-out.  Because V1 programmers developed all of the applications using the same programming language and database engine (MS-SQL), all of the Rosen Resorts benefit from the seamless integration between the Visual One products.

Aston Hotels, the newest Independent Hotel Group in the UK signs with Visual One

Visual One Systems are very pleased to announce the signing of a contract with The Aston Hotel Group of Hotels, for the supply of the Visual One System to the three hotels in the group. Visual One modules being supplied include the market leading, fully integrated Property Management, Sales and Catering, Point of Sale and Web Bookings.
